Terms and Conditions – Appsalon (ABC IT B.V.)

1. Definitions

  1. Appsalon: the software-as-a-service application of ABC IT B.V. for, among other things, POS management, scheduling, and online bookings.
  2. ABC IT B.V.: the private limited company ABC IT B.V., established in Leiden, the Netherlands, Chamber of Commerce 92966586.
  3. Customer: any (legal) person who enters into an Agreement with ABC IT B.V. for the use of Appsalon.
  4. Agreement: the remote agreement under which the Customer may use Appsalon, including these Terms and Conditions.
  5. Service(s): all (cloud) services, functionalities, updates, consultancy, and support provided by ABC IT B.V. regarding Appsalon.
  6. Content: all data that the Customer or its End Users store or process in Appsalon.
  7. GDPR: the General Data Protection Regulation (EU) 2016/679.
  8. Termination Date: the date on which the Agreement ends, for any reason.

2. Applicability

  1. These Terms and Conditions apply to every offer and every Agreement between ABC IT B.V. and a Customer.
  2. Deviations are only valid if agreed in writing.
  3. General (purchase) conditions of the Customer are expressly rejected.

3. Services and License

  1. ABC IT B.V. grants the Customer a non-exclusive, non-transferable right to use Appsalon for the duration of the Agreement.
  2. The Customer may only use Appsalon for internal business purposes.

4. Accounts

  1. The Customer is responsible for keeping its account credentials confidential and for all activities that occur under its account.
  2. The Customer must immediately notify ABC IT B.V. of any unauthorized use of its account.

5. Payment

  1. The Customer must pay the agreed fees for the services in accordance with the payment terms specified in the Agreement.
  2. All prices are exclusive of VAT unless otherwise stated.

6. Duration and Termination

  1. The Agreement is entered into for the term specified in the Agreement.
  2. The Agreement may be terminated in accordance with the termination provisions specified in the Agreement.

7. Support

  1. ABC IT B.V. provides support to the Customer in accordance with the support level specified in the Agreement.
  2. Support is provided during business hours unless otherwise agreed.

8. Data Protection

  1. ABC IT B.V. processes personal data in accordance with applicable privacy laws.
  2. The Customer is responsible for ensuring a legal basis for processing personal data through the services.

9. Intellectual Property

  1. All intellectual property rights relating to the services remain with ABC IT B.V.
  2. The Customer receives a limited, non-exclusive, non-transferable license to use the services in accordance with the Agreement.

10. Confidentiality

  1. Both parties must maintain the confidentiality of all confidential information received from the other party in the context of the Agreement.

11. Liability

  1. The liability of ABC IT B.V. is limited to the amount paid by the Customer in the 12 months preceding the event giving rise to the liability.
  2. ABC IT B.V. is not liable for indirect damages, including but not limited to loss of profits, loss of data, or business interruption.

12. Force Majeure

  1. ABC IT B.V. is not liable for any failure to perform its obligations under the Agreement if such failure is due to force majeure.

13. Transfer

  1. The Customer may not transfer its rights and obligations under the Agreement to third parties without the prior written consent of ABC IT B.V.

14. Changes to Terms

  1. ABC IT B.V. may change these terms and conditions at any time.
  2. The Customer will be notified of any changes in advance. If the Customer does not agree with the changes, they may terminate the Agreement.

15. Applicable Law

  1. These terms and conditions are governed by Dutch law.
  2. Disputes will be submitted to the competent court in the Netherlands.
